These terms set out how WE MANAGE and our clients work together on websites, branding, social media, custom systems, reporting, and portal access, so expectations are clear from day one.

01 Acceptance of these terms

These Terms of Service (the “Terms”) govern your use of the WE MANAGE website and client portal, and any services you engage us to provide. By requesting a proposal, engaging us, or using our website or portal, you agree to these Terms. If you do not agree, please do not use our website or services.

Your signed or written proposal (the “Proposal”), together with these Terms, forms the complete agreement between us. Where the Proposal and these Terms differ, the Proposal takes precedence for that engagement.

02 Definitions

  • “WE MANAGE”, “we”, “us”: WE MANAGE, based in Erbil, Kurdistan Region, Iraq.
  • “Client”, “you”: the individual or business engaging our services.
  • “Services”: the work described in your Proposal.
  • “Deliverables”: the final materials, files, or systems we produce for you.
  • “Portal”: the private client workspace we may provide.
  • “Content”: text, images, logos, data, and other materials.

03 Our services

We provide corporate websites, branding and brand identity, social media management, content creation, search and digital presence management, custom business systems, reporting and KPI dashboards, and private client portals, as described in your Proposal. The Proposal is the source of truth for what is included in your engagement.

04 Proposals, quotes & scope

Each engagement begins with a written Proposal that defines the scope, deliverables, timeline, fees, and responsibilities. Work requested outside the agreed scope (“change requests”) may require a new quote, additional fees, and a revised timeline before it proceeds.

05 Fees & payment

Fees, deposits, instalments, and monthly management fees are set out in your Proposal. A deposit may be required before work begins. Invoices are due within the period stated on the invoice or Proposal.

Late or missed payments may pause work and shift delivery dates. Unless stated otherwise, prices exclude any applicable taxes, bank charges, or third-party fees (such as hosting, domains, or paid tools).

06 Revisions

Revisions are included according to the rounds agreed in your Proposal. Additional revisions, or major changes in direction beyond the approved scope, may require extra time and cost.

07 Timelines & delivery

Timelines depend on content readiness, the speed of your feedback and approvals, and project complexity. Delays in providing materials, access, or approvals will move delivery dates accordingly. We aim to communicate any schedule changes promptly and clearly.

08 Client responsibilities

To keep your project on track, you are responsible for providing accurate business information, Content, brand assets, and any access or credentials we need; giving timely feedback and approvals; and making payments on time. You are also responsible for the accuracy, legality, and rights of any materials you provide to us.

09 Content & rights you provide

You confirm that you own, or are properly licensed to use, all Content you provide, and that it does not infringe the rights of any third party or breach applicable law. You agree to indemnify us against any claim arising from materials you supply.

10 Intellectual property & ownership

Upon full payment, ownership of the final approved Deliverables transfers to you, unless your Proposal states otherwise.

We retain ownership of our pre-existing tools, frameworks, source components, methods, and know-how, and may reuse our general skills and non-confidential techniques on other projects. Third-party assets (such as fonts, stock media, and plugins) remain governed by their own licenses.

11 Portfolio & credit

Unless we agree otherwise in writing, we may show completed work in our portfolio and marketing, and reference you as a client. We will respect reasonable, written confidentiality requests.

12 Third-party services

Some Services rely on third-party platforms such as hosting, domains, social networks, payment providers, and plugins. Their availability, changes, pricing, and policies are outside our control, and we are not responsible for their outages, restrictions, or policy changes.

13 Client portal & accounts

Portal access is private and intended only for authorized users. You are responsible for keeping your credentials secure and for all activity under your account. You must not misuse, probe, or attempt unauthorized access to the Portal or our systems. We may suspend access for security reasons or non-payment.

14 Confidentiality

Each party will keep the other’s non-public information confidential and use it only to deliver or receive the Services, except where disclosure is required by law.

15 Data & privacy

We handle personal data as described in our Privacy Policy. Where you ask us to process personal data on your behalf (for example, audience or customer data), you are responsible for having a lawful basis to do so.

16 Ongoing & monthly management

Monthly packages include the content, updates, reports, and support defined in your active package. Unused monthly items do not roll over unless stated. Either party may end a monthly arrangement by giving the notice period set out in the Proposal.

17 Cancellation & termination

Either party may terminate for a material breach that is not remedied within a reasonable period, or as otherwise set out in the Proposal. On termination, you agree to pay for all work completed and approved up to that date. We may suspend or stop work where payment is overdue.

18 Refunds

Refunds are assessed against the stage of work completed and the terms in your Proposal. Deposits and fees for completed or approved work are generally non-refundable, as they cover time and resources already committed.

19 Warranties & disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated in your Proposal, the Services and Deliverables are provided on an “as is” basis. We do not warrant uninterrupted operation, specific search rankings, sales, reach, engagement, or any particular third-party outcome.

20 Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential losses, or for lost profits, data, or revenue. Our total liability for any claim is limited to the fees you paid for the specific Service giving rise to the claim.

21 Indemnification

You agree to indemnify and hold us harmless from claims, damages, and costs arising from the materials you provide, your use of the Deliverables, or your breach of these Terms.

22 Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including internet or utility outages, third-party platform failures, strikes, natural events, or government actions.

23 Governing law & disputes

These Terms are governed by the laws applicable in the Kurdistan Region of Iraq. The parties will first try to resolve any dispute amicably and in good faith. Disputes that cannot be resolved will be subject to the competent courts of Erbil.

24 Changes to these terms

We may update these Terms from time to time. The current version is always posted on this page with an updated date. Continued use of our website, portal, or Services after a change means you accept the updated Terms.
